1. Acceptance of Terms

By accessing and using White Label QR ("the Service"), you accept and agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use the Service.

These Terms constitute a legally binding agreement between you and White Label QR ("we," "us," or "our"). By using the Service, you represent that you have the legal capacity to enter into this agreement.

2. Service Description

White Label QR provides a platform for creating, managing, and tracking QR codes with smart redirect capabilities. Our Service includes:

• QR code generation and management
• Smart device detection and app store redirection
• Analytics and tracking services
• White-label domain customization
• Customer support and documentation

3. Account Registration and Use

3.1 Account Creation

• You must provide accurate, current, and complete information during registration
• You are responsible for maintaining the security of your account credentials
• You must be at least 18 years old or have parental consent to use the Service
• One account per person/entity is permitted

3.2 Account Responsibilities

• You are responsible for all activities under your account
• You must notify us immediately of any unauthorized use
• You may not transfer your account to another person or entity
• You must comply with all applicable laws and regulations

4. Acceptable Use Policy

4.1 Permitted Uses

You may use the Service for lawful business and personal purposes, including:

• Creating QR codes for legitimate business applications
• Marketing and promotional activities
• App store redirection
• Analytics and performance tracking

4.2 Prohibited Uses

4.3 Content Responsibility

• You are solely responsible for the content your QR codes link to
• We do not review, approve, or endorse linked content
• We may immediately deactivate QR codes if we receive valid complaints
• We reserve the right to report illegal activities to authorities

5. Service Availability and Limitations

5.1 No Guarantees

• No uptime guarantees: We do not guarantee 100% service availability
• No performance guarantees: QR code scanning and redirection may experience delays or failures
• No accuracy guarantees: Analytics data is provided "as is" without warranty of accuracy
• No compatibility guarantees: Service may not work on all devices or browsers

5.2 Service Limitations

• Service may be temporarily unavailable for maintenance
• We may limit usage to prevent abuse
• Service may be affected by third-party dependencies (app stores, payment processors)
• We are not responsible for third-party service failures

6. Payment Terms

6.1 Pricing and Billing

• All prices are in EUR and exclude applicable taxes
• Payments are processed through Stripe and are non-refundable except as required by law
• We may change pricing with 30 days written notice
• Failed payments may result in service suspension

6.2 Refund Policy

• No refunds for partial months or unused services
• Refunds may be provided at our sole discretion
• Refunds are not available for account termination due to Terms violations

6.3 Billing Entity

Currently operating as a sole proprietorship. In the event of incorporation as a BV (Besloten Vennootschap), all existing contracts will automatically transfer to the new legal entity.

7. Data and Privacy

We collect only minimal data necessary for service provision:

• Account information (email, name, company)
• Billing details (processed by Stripe)
• QR code metadata and analytics
• Service usage data

8. Intellectual Property

8.1 Our Rights

• The Service, including software, design, and content, is owned by White Label QR
• All trademarks, service marks, and logos are our property
• You may not copy, modify, or reverse engineer our software

8.2 Your Rights

• You retain ownership of content you create using our Service
• You grant us a limited license to process and store your data for service provision
• You may use generated QR codes for your business purposes

9. Limitation of Liability

9.1 No Warranty

9.2 Limitation of Damages

IN NO EVENT SHALL WHITE LABEL QR BE LIABLE FOR:

• Service failures: Downtime, QR code scanning errors, or redirection failures
• Data loss: Loss of analytics data, QR code configurations, or user data
• Third-party issues: App store failures, payment processor errors, or domain issues
• Indirect damages: Lost profits, business interruption, or reputational harm
• Maximum liability: Limited to the amount paid for the Service in the 12 months preceding the claim

10. Indemnification

You agree to indemnify and hold harmless White Label QR from any claims, damages, or expenses arising from:

• Your violation of these Terms
• Your use of the Service
• Content linked to by your QR codes
• Your violation of applicable laws or third-party rights

11. Account Termination

11.1 Termination by You

• You may cancel your account at any time
• Cancellation takes effect at the end of your billing period
• No refunds for unused time

11.2 Termination by Us

We may immediately terminate or suspend your account for:

• Violation of these Terms
• Illegal or harmful activities
• Non-payment of fees
• Abuse of the Service
• Requests from law enforcement or regulatory authorities

11.3 Effect of Termination

• Access to the Service will be immediately revoked
• Your data will be deleted within 30 days
• No refunds will be provided
• QR codes will stop functioning

12. Compliance and Legal Requests

12.1 Law Enforcement Cooperation

• We will cooperate with valid legal requests from authorities
• We may immediately suspend accounts based on law enforcement notifications
• We reserve the right to report illegal activities to relevant authorities

12.2 Regulatory Compliance

• We comply with applicable EU regulations including GDPR
• We may modify the Service to ensure compliance
• Users must comply with all applicable laws in their jurisdiction

13. Changes to Terms

13.1 Modification Rights

• We may modify these Terms at any time
• Material changes require 30 days notice
• Continued use constitutes acceptance of new Terms

• Changes will be posted on our website
• We may notify users via email for material changes
• Your continued use after changes constitutes acceptance

14. Governing Law and Disputes

14.1 Governing Law

These Terms are governed by Dutch law and the laws of the European Union.

14.2 Dispute Resolution

• Disputes will be resolved through good faith negotiation
• If resolution cannot be reached, disputes will be resolved in Dutch courts
• You agree to the exclusive jurisdiction of Dutch courts
